1. Acceptance of Terms

By accessing and using the Esperanza Flowers website (“the Site”) or any services provided by Esperanza Flowers (“we,” “us,” or “our”), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these terms, you should not use our Site or services. These Terms constitute a legally binding agreement between you (the “User”) and Esperanza Flowers regarding your use of the Site and any transactions or communications with us.

We reserve the right to modify or update these Terms & Conditions at any time, at our sole discretion, without prior notice. Changes are effective upon posting the revised Terms on our Site, with the “Last Updated” date adjusted accordingly. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

2. Definitions

For the purpose of this document, the following definitions apply:

  • “Esperanza Flowers” refers to the owner and operator of the Site and related services.
  • “Site” refers to any website, application, or online platform owned by Esperanza Flowers through which products or services are offered.
  • “Services” refers to all features, functionalities, offerings, and customer support provided through the Site, including the ability to purchase floral products and related goods.
  • “User” or “you” refers to any individual or entity accessing or using the Site or Services, whether as a visitor or as a registered customer.
  • “Products” or “Goods” refers to the flowers, bouquets, arrangements, plants, and any other merchandise offered for sale by Esperanza Flowers.
  • “Order” refers to a request by a User to purchase specified Products through the Site, once accepted and confirmed by Esperanza Flowers.

Additional definitions may be provided in context within these Terms. Any capitalized terms not defined in this Section carry the meanings given to them elsewhere in the Terms or in our Privacy Policy.

3. Eligibility and Age Requirement

Use of the Site and Services is intended for persons who are 18 years of age or older (or the age of majority in your jurisdiction). By using our Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are under 18, you may only use the Site under the supervision and with the consent of a parent or legal guardian. We do not knowingly provide services to or collect personal information from individuals under 18 years of age, and our Site is not designed for use by minors.

Furthermore, you agree to comply with all applicable laws and regulations when using our Site. Access to the Services from territories where the content or practices of the Site are illegal is prohibited. If you choose to access the Site from outside of the United States or Ecuador, you do so on your own initiative and are responsible for compliance with any local laws that may apply.

4. Account Registration and Security

Certain features of our Site (such as viewing order history, saving addresses, or managing subscriptions) may require you to create an account. By registering an account, you agree to provide accurate, current, and complete information, and to update it as necessary. You must not impersonate any person or entity or provide false information. Each user is permitted only one account, unless we expressly authorize otherwise.

You are responsible for maintaining the confidentiality of your account login credentials. You agree not to share your username or password with any third party and to notify us immediately if you suspect any unauthorized access to your account. You are responsible for all activities conducted through your account. Esperanza Flowers has the right to assume that any activity on your account has been authorized by you, and we shall not be liable for any loss or damage arising from unauthorized use of your credentials if we were not promptly notified.

We reserve the right to suspend or terminate accounts that we suspect are being used in violation of these Terms, including accounts previously banned or users who have breached our Terms in the past. Account registration by any person or entity previously prohibited from accessing the Services is strictly forbidden.

5. Description of Services

Esperanza Flowers provides an e-commerce platform where users can purchase fresh flowers, bouquets, floral arrangements, and related gift products for delivery. Our Services enable you to browse our catalog, place orders, arrange shipping to designated addresses, and receive customer support. We specialize in sourcing flowers from the Andes Mountains of Ecuador and delivering them directly to customers in the United States (among other regions).

The products offered and prices may change from time to time as we update our selection and offerings. We strive to provide detailed descriptions and high-quality images of products. However, please note that the actual appearance of floral arrangements may vary somewhat from photographs due to the natural variations in color, seasonality, and availability of flowers.

By placing an order through our Site, you are engaging our Services to fulfill that order subject to these Terms.

6. Orders and Sales Terms
6.1. Pricing and Payment

All prices on our Site are listed in United States Dollars (USD), unless otherwise indicated. Prices include applicable taxes, duties, and shipping charges that may apply to your order, for delivery to a single address within the United States.

We accept various payment methods, which may include major credit/debit cards and other payment processors. By providing payment information, you represent that you are authorized to use the payment method and you authorize us (or our third-party payment processor) to charge the full order amount, including any applicable fees, taxes, and shipping costs. Payment is typically charged at the time of order placement. If your payment method is declined or fails, we reserve the right to cancel the order.

All promotions, discounts, or coupon codes are subject to their specific terms. We reserve the right to reject or cancel orders that abuse promotional offers. We may also adjust pricing or fees in the event of a technical error, but will inform you and obtain your consent if an adjustment affects your order.

6.2. Order Process and Confirmation

When you place an order on our Site, you will receive an order acknowledgment email once your request has been successfully submitted. This acknowledgment does not yet constitute acceptance of your order. All orders are subject to our review and approval. We reserve the right to accept or reject any order for any reason, including but not limited to product unavailability, pricing or description errors, or issues identified through our fraud prevention processes.

Once we confirm that the order can be processed (for example, that the items are in stock and ready to be shipped on the desired date), we will send you an Order Confirmation email, at which point a binding sales contract is formed. If we are unable to process an order (in whole or in part), we will inform you as soon as possible. In the event that certain items are unavailable, we may offer alternatives or the option to cancel those affected items.

You are responsible for providing accurate recipient and delivery address information when placing your order. Please carefully review all order details (including product selection, quantities, card message, and delivery date) before completing payment. Esperanza Flowers is not responsible for delays or failed deliveries resulting from incorrect addresses or other inaccurate information provided by the User. If you become aware of an error in your order information, please contact us immediately using the contact details provided above; while we cannot guarantee modifications after the order has been placed, we will make reasonable efforts to accommodate your request as long as the preparation or shipping process has not yet begun (see Section 6.4).

6.3. Shipping and Delivery Policy

Geographic Scope: Esperanza Flowers ships orders to addresses within the United States. We deliver to most U.S. cities using third-party carriers for shipments. Please note: We currently do not ship to P.O. Boxes or military APO/FPO addresses, and certain remote locations (such as U.S. territories or overseas military bases) may not be covered by our service. Delivery to Alaska or Hawaii may be limited or subject to additional transit times and costs; please check with our team regarding availability for these destinations. In general, our deliveries cover the continental United States. International delivery (outside the U.S.) is not offered through our standard online system, except for special cases that must be coordinated with us on an individual basis.

Delivery Methods and Timing: We partner with reputable national and regional carriers (such as FedEx, UPS, DHL, or others) to transport our floral shipments from our facilities in Ecuador or distribution centers to the delivery address. Orders are generally shipped to arrive on the delivery date selected at checkout. However, we cannot guarantee exact delivery times on that day. Deliveries typically occur Monday through Friday during standard business hours. Weekend or holiday deliveries may not be available in all areas or may incur additional fees. Additionally, it is important to note that, due to logistical reasons, deliveries are not made on Wednesdays.

While we strive to meet all requested delivery dates, delivery is subject to factors beyond our control, such as weather disruptions, customs clearance delays for international shipments, carrier logistical issues, or other unforeseen events. Therefore, delivery dates are not guaranteed and should be viewed as estimates. We will make reasonable efforts to notify you of any significant delays or issues in transit.

Recipient Availability: Our carriers may or may not require a signature upon delivery of floral packages. It is common for deliveries to residential addresses to be left at the door or in a safe location if no one is available to receive them, especially since these are perishable items. We recommend ensuring that someone will be present at the delivery address on the scheduled date to receive and unpack the flowers immediately. For deliveries to offices, apartment buildings, or other facilities with reception or mailroom services, the carrier may leave the package with reception staff or in the designated delivery area. In most cases, the carrier will not contact the recipient prior to delivery, so it is advisable (if the delivery is not a surprise) to inform the recipient to expect the package. Another delivery option may involve shipment to the address of an associated Wholesaler, previously authorized and coordinated with the customer.

Once delivered to the specified address, risk of loss and title for the goods pass to the recipient/user. We cannot be responsible for the security of packages after delivery – please retrieve delivered flowers as soon as possible to ensure their freshness and to prevent theft or exposure to adverse conditions.

Shipping Costs: The previously agreed price includes any applicable shipping or delivery fees to a single address within the United States. Esperanza Flowers is not responsible for multi-destination deliveries and does not coordinate more than one delivery address per order.

Delivery Issues: If a delivery attempt fails due to an incorrect address or the recipient’s absence, the carriers may, at their discretion, attempt a second delivery or hold the package at a local branch. It is the customer’s responsibility to coordinate pickup or rescheduling of the delivery with the carrier if necessary. We are not responsible for flowers that become spoiled due to multiple failed delivery attempts caused by incorrect information or the recipient’s unavailability.

Esperanza Flowers does not assume responsibility for delays or failures in delivery due to events beyond our reasonable control, including but not limited to carrier delays, customs or import procedures, natural disasters, strikes, or extreme weather conditions. In particular, because our products are perishable, we strongly encourage scheduling delivery 1-2 days in advance of any special event in case of unforeseen delays. We also advise tracking your shipment via the tracking number provided in the shipment confirmation email and promptly retrieving the package upon delivery.

6.4. Cancellations and Changes

Once an order has been placed and confirmed, there is only a limited window in which changes or cancellations can be accommodated. If you need to modify or cancel your order, contact Esperanza Flowers customer service immediately (ideally within the same day of ordering). We will do our best to honor requests for changes in delivery date, recipient address, card message, or product selection, but such changes cannot be guaranteed if preparation or shipping has already commenced. In particular, orders that are already in transit or within 48 hours of the scheduled delivery date often cannot be altered or halted.

For any order cancellation request submitted before the order has been prepared for shipment, we may offer a full refund or store credit at our discretion. However, if the cancellation request comes after the flowers have been cut, arranged, or shipped, we reserve the right to deny the cancellation or to charge a cancellation fee equal to part or all of the order cost to cover losses (given the perishable nature of our product).

Esperanza Flowers also reserves the right to cancel an order on our end if: (a) the product is unavailable and no suitable substitute can be arranged; (b) we suspect fraudulent or unauthorized activity; or (c) delivery is not feasible to the provided address. In such cases, we will notify you of the cancellation and issue a full refund of any amounts charged.

6.5. Refunds and Returns

All sales are final. Due to the perishable nature of flowers, we do not accept returns of products under any circumstances.

However, customer satisfaction is very important to us. If you experience any quality issues with your order that are not caused by shipping delays or conditions outside our control, please contact us within 48 hours of the delivery date to report the problem. This may include situations such as the flowers arriving in poor condition, the wrong item being delivered, or other issues with the order. We may request photographic evidence of the issue to help us assess the situation.

Upon timely notification of a valid quality issue, Esperanza Flowers, at its discretion, will offer an appropriate resolution. This may include reshipping the product, issuing a partial or full refund, or providing store credit for a future purchase. Any request received more than 2 days after delivery cannot be accommodated, as we will be unable to verify or address issues after that period. Additionally, if the problem resulted from factors beyond our control (for example, extreme weather conditions affecting the flowers after delivery, or the package being left unattended for an extended period and not properly hydrated or cared for), our ability to provide compensation may be limited.

Please note that variations in bloom size, color, or stage (bud vs. open flower) are to be expected with natural products and will not be considered defects. We strive to deliver fresh, healthy flowers, but we do not guarantee a specific vase life of the blooms once they are in the recipient’s care, as longevity depends on environmental and care factors. We provide care instructions for reference on our website (and often in the box); proper care can extend the enjoyment of the bouquet.

We do not provide refunds or re-deliveries for delivery-related issues that arose due to incorrect addresses, recipient not being available, or other logistics beyond our control, as noted in Section 6.3.

In summary, except in cases of verified quality problems or service errors on our part, all orders are considered final and non-refundable. This policy allows us to continue offering fresh, high-quality products at reasonable prices.

6.6. Substitution Policy

Occasionally, substitutions may be necessary to fulfill your order in a timely manner. Flowers are agricultural products and subject to seasonal and market availability. While Esperanza Flowers grows and sources a wide variety of blooms, certain stem colors or varieties may become unavailable on short notice (for example, due to weather issues or supply interruptions). Additionally, specific vases or packaging components shown in product photos might be out of stock.

In such cases, we will make substitutions with items of equal or greater value, striving to maintain the overall style, theme, and color scheme of your chosen arrangement. For example, if a particular type of flower is unavailable, we will substitute it with a similar flower of comparable appearance and quality. If a certain container (vase) or add-on item is not available, we will replace it with a suitable alternative of equal value that fits the design.

We ensure that any substitutions do not materially change the character of the arrangement – the intent is that the recipient receives a bouquet that closely resembles what was depicted and expected, just with equivalent blooms or items where needed. No additional charges will be applied for making substitutions of equal or higher value. If we must substitute with a higher-value item, you get that upgrade at no extra cost.

Our substitution policy ensures that we can deliver your orders on time, even when certain flowers are in high demand or temporarily out of stock, especially during major holidays or peak seasons. Rest assured that the beauty and quality of your arrangement will not be compromised by any substitution made.

7. User Conduct and Prohibited Uses

Users agree to use Esperanza Flowers’ Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
  • Engage in any conduct that is fraudulent, abusive, or harmful to our business interests or the experience of other users.
  • Use bots, scripts, or other automated means to access, scrape, or collect information from the Site without our express permission.
  • Attempt to interfere with the proper working of the Site, for example by hacking, attempting to breach security measures, introducing viruses or malicious code, or launching any form of denial-of-service attack.
  • Misrepresent your identity or affiliation, or attempt to make purchases under a false name or with stolen payment information.
  • Post or transmit any material that is defamatory, obscene, infringing, or otherwise objectionable concerning our company, products, employees, other users, or any third party.
  • Use the Site to advertise or sell third-party products or to solicit others without our prior written consent.

We reserve the right to monitor, investigate, and take appropriate legal action against anyone who, in our judgment, violates this Section 7, including without limitation, suspending or terminating the accounts of such violators and cooperating with law enforcement authorities in prosecuting offenders.

8. Intellectual Property Rights

All content and materials on the Esperanza Flowers Site – including text, images, graphics, logos, button icons, videos, audio clips, data compilations, software, and the overall design and arrangement of the Site – are the property of Esperanza Flowers or its content suppliers and are protected by applicable intellectual property laws. All rights are reserved. The compilation of all content on the Site is the exclusive property of Esperanza Flowers.

Trademarks: “Esperanza Flowers” and our associated logos, slogans, and trade dress are trademarks or service marks of our company. They may not be used in connection with any product or service that is not Esperanza Flowers’, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Esperanza Flowers. All other trademarks not owned by us that appear on the Site (if any) are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

License to Use Site: Esperanza Flowers grants you a limited, non-exclusive, non-transferable, and revocable license to access and make personal use of the Site and its content. This license does not include the commercial use or resale of the Site or its contents; the collection and use of product listings or descriptions; any derivative use of the Site or its content without prior consent; or the use of data extraction and collection tools (such as data mining, robots, or similar technologies). You may not reproduce, duplicate, copy, sell, or otherwise exploit any part of the Site for commercial purposes without our express written consent.

If you wish to reference or share content from our Site (such as images or descriptions) for non-commercial purposes (e.g., on social media or personal blogs), you may generally do so provided you give proper credit to Esperanza Flowers. However, do not remove or alter any copyright, trademark, or other proprietary notices from materials found on the Site.

User Submissions: If you submit any content to us (such as reviews, testimonials, suggestions, or photographs), you grant Esperanza Flowers a royalty-free, perpetual, irrevocable, worldwide, non-exclusive, sublicensable right to use, reproduce, modify, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent that you have the rights to provide such content and that its use by us will not infringe the rights of any third party. Please do not send us any unsolicited confidential or proprietary ideas or materials; any such communications will be considered non-confidential and may be used by us freely without acknowledgment or compensation to you.

Unauthorized use of the Site or its content will terminate the permission or license granted by these Terms. We vigorously enforce our intellectual property rights to the fullest extent of the law, which may include seeking legal remedies (civil or criminal) for infringement.

9. Third-Party Links

Our Site may contain links to websites or resources operated by parties other than Esperanza Flowers. These links are provided for your convenience only. We do not have control over those sites and resources, and thus we are not responsible for the content, products, services, or practices of any third-party websites. The inclusion of any link does not imply our endorsement or approval of the third-party site or any association with its operators.

If you decide to access any third-party websites linked from our Site, you do so at your own risk. We encourage you to review the terms of use and privacy policies of any third-party sites you visit. You acknowledge and agree that Esperanza Flowers shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of any third-party site or resource.

This includes links to social media or commercial platforms where Esperanza Flowers may have profiles or pages. Your interactions on those platforms are governed by the terms and policies of their respective providers (for example, Facebook, Instagram, Shopify, PayPal) and not by Esperanza Flowers’ own Terms and Conditions, which apply solely to our Site and direct services.

10. Privacy Policy

Please review our Privacy Policy (available on our Site) to understand our practices regarding the collection, use, and disclosure of personal information. The Privacy Policy is hereby incorporated into these Terms & Conditions by reference, and by using our Services, you acknowledge that you have read and agree to the Privacy Policy.

In summary, we collect certain data from you in order to process orders and improve our Services. We implement reasonable security measures to protect your data. We do not sell personal data to third parties, but we may share information with service providers as needed to fulfill orders (for example, sharing your delivery address with the shipping carrier). We also utilize cookies and similar technologies to enhance user experience, as detailed in the Privacy Policy.

By using the Site, you consent to the collection and use of information as outlined in the Privacy Policy. If you do not agree with our data handling practices, please discontinue use of our Services.

11. Disclaimers of Warranties

Esperanza Flowers strives to provide excellent products and an enjoyable website experience, but we make no warranties or guarantees that the Site or Services will always meet your expectations or be free from errors. Your use of the Site and our Services is at your own risk.

The Site and all products and services delivered to you are provided “as is,” “with all faults,” and “as available,” without warranties of any kind, either express or implied. To the fullest extent permitted by law, Esperanza Flowers and its suppliers and partners disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, accuracy of content, and non-infringement.

Specifically, while we endeavor to deliver fresh, high-quality flowers and to have our Site operational 24/7, we do not warrant that: (a) the flowers or goods will meet your specific expectations (for example, we cannot guarantee each bloom will be identical to a photo or last for a certain number of days, though we take steps to ensure quality); (b) the Site will be uninterrupted, timely, secure, or error-free at all times; (c) any defects or errors on the Site will be corrected immediately; or (d) any communications (such as emails or forms) will be delivered reliably, or that the Site or server is free of viruses or harmful components.

No advice or information, whether oral or written, obtained from Esperanza Flowers or through the Site, shall create any warranty not expressly stated in these terms. We do not guarantee that the results of using the Service (such as how long the flowers will last or the level of joy they will bring) will be as you expect, as these outcomes can vary.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our warranties are limited to the extent permitted by law.

12. Limitation of Liability

Your sole and exclusive remedy for dissatisfaction with our Site or Services is to stop using them. You agree that, to the fullest extent permitted by applicable law, under no circumstances shall Esperanza Flowers, its owners, officers, directors, employees, agents, partners, suppliers, or affiliates be liable for:

  • Any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, loss of data, loss of goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Site or Services. This remains true even if we have been advised of the possibility of such damages.
  • Any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Site or your account or the information contained therein.
  • Errors, mistakes, or inaccuracies of content on the Site; personal injury or property damage resulting from your access to or use of our Services; any unauthorized access to our servers or to personal information stored therein; any interruption or cessation of transmission to or from the Site; any bugs, viruses, Trojan horses, or the like that may be transmitted by a third party; or any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted or shared via the Site.

To the extent we are found liable for any claim, our aggregate liability to you for all claims arising from your use of the Services shall not exceed the total amount paid by you to Esperanza Flowers for the specific product or service in question in the 12 months preceding the claim. If you have not paid Esperanza Flowers for any products or services in that time, our total liability shall be zero to the fullest extent allowable by law.

In jurisdictions that do not allow the exclusion or limitation of liability for certain damages, our liability will be limited to the smallest amount permitted by law.

The limitations above apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and whether or not Esperanza Flowers has been informed of the possibility of such damage.

13. Indemnification

You agree to indemnify, defend, and hold harmless Esperanza Flowers and its parent company, subsidiaries, affiliates, and their respective officers, directors, shareholders, employees, agents, and representatives (the “Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, expenses, or demands (including reasonable attorneys’ fees) that arise out of or relate to (i) your use or misuse of the Site or Services, (ii) your breach of these Terms & Conditions, (iii) any content you provide or submit to us (e.g., reviews or feedback that infringe on third-party rights or violate law), or (iv) your violation of any law or regulation or the rights of any third party in connection with your use of the Site.

Esperanza Flowers reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim. You shall not settle any such claim or matter without the prior written consent of Esperanza Flowers, where the settlement would impose any liability or admission of fault on the Indemnified Parties.

This indemnification provision shall survive any termination of your account or use of the Services.

14. Governing Law

This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of the United States or Ecuador.

By using the Site or the Services, you agree that the applicable law for interpreting and enforcing these Terms may be determined by Esperanza Flowers at a future date. The chosen law will apply without regard to its conflict of laws provisions, meaning it will be applied as written and no conflict of law rules requiring the application of another jurisdiction’s laws shall be invoked.

If you are a consumer residing in a jurisdiction with mandatory consumer protection laws, nothing in this Section shall deprive you of the protection afforded by the mandatory provisions of the law of your country of residence.

15. Dispute Resolution (Arbitration)

Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, or to their breach, termination, or validity, or to the use of the Site or the purchase of products from Esperanza Flowers, that cannot be resolved through good faith negotiations within 30 days, shall be finally settled by binding arbitration. The arbitration shall take place in Quito and shall be conducted in [English or Spanish], unless otherwise required by law.

The arbitration shall be administered by an agreed arbitration entity, such as the Quito Chamber of Commerce, in accordance with its Arbitration Rules, and the decision (award) rendered by the arbitrator(s) may be submitted for enforcement in any court of competent jurisdiction. Each party shall bear its own costs and legal fees and shall share equally the fees of the arbitral tribunal, unless otherwise determined by the arbitrator.

Waiver of Jury Trial: By agreeing to arbitration, both you and Esperanza Flowers waive the right to a jury trial or to participate in a class action for claims subject to this arbitration agreement. You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or class member in any class, consolidated, or representative action.

This arbitration agreement is made in connection with a transaction involving interstate commerce, and the U.S. Federal Arbitration Act (9 U.S.C. §§ 1–16), or equivalent laws in the chosen jurisdiction, shall govern its interpretation and enforcement.

If, for any reason, this arbitration clause is deemed unenforceable or inapplicable to a particular dispute, such dispute shall be resolved exclusively in the state or federal courts located in the jurisdiction of Wisconsin, and both you and Esperanza Flowers consent to personal jurisdiction in those courts for that purpose.

16. Severability and Waiver

Severability: If any provision of these Terms & Conditions is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be severed or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
